These Terms & Conditions apply to all proposals, estimates, quotes, invoices, products, and services provided by Shades By Design, Inc., including but not limited to interior window treatments (blinds, shades, drapery, motorization) and exterior systems (outdoor screens, awnings, pergolas, and related structures).
By approving a quote, signing, or submitting payment, the client acknowledges that they have read, understood, and agree to be bound by these Terms & Conditions in full.

Measurement Verification
All measurements are preliminary and subject to on-site verification by Shades By Design unless the client elects to provide their own measurements. When client-supplied measurements are used, the client assumes full responsibility for accuracy, fit, performance, and all related costs.
Non-Binding Quotes
All quotes are estimates only and are not binding until final verification and final invoice approval.
Price Adjustments
Pricing may change based on final measurements, site conditions, engineering requirements, code compliance, material availability, tariffs, or non-standard selections.
Service & Shipping Estimates
Installation, engineering, permitting, project management, and shipping costs are estimates only and may change due to logistics conditions, carrier rates, fuel surcharges, port delays, or market conditions.
All product lead times commence only after receipt of the required deposit, final product selections, and final on-site measurements, unless otherwise stated in writing.
All lead times are estimates only and subject to change.
Shades By Design is not responsible for manufacturer product availability, production delays, or backorders. Clients will be notified as soon as SBD is informed of such delays by the manufacturer.
Shades By Design reserves the right to charge additional costs incurred due to, but not limited to:
Such costs may be billed as incurred. Where possible, SBD will notify the client in advance.
Unless explicitly stated in writing, Shades By Design does not provide structural or civil engineering services and does not warrant the adequacy, integrity, or load-bearing capacity of slabs, footers, decks, walls, soffits, roofs, columns, or substrates.
The client (or their architect, engineer, or contractor) is solely responsible for confirming suitability. SBD is not responsible for failures caused by movement, settling, cracking, corrosion, waterproofing failure, soil conditions, or structural inadequacy.
Compliance with applicable codes or wind ratings does not guarantee immunity from damage.
SBD is not responsible for damage caused by hurricanes, wind events, flooding, acts of God, salt air, humidity, UV exposure, or environmental conditions beyond design intent. Clients are responsible for proper operation, storm preparation, and maintenance.
SBD is not responsible for pre-existing, latent, or future water intrusion issues. Penetrations are sealed to reasonable industry standards; however, no warranty is provided against future leaks caused by building movement, aging materials, or third-party construction.
If the client elects to manage permits independently, they assume full responsibility for determining requirements and compliance. This may void manufacturer warranties.
All electrical work must be performed by a licensed electrician. SBD is not responsible for delays or damages caused by incomplete, incorrect, or non-compliant wiring or automation infrastructure. Home automation integration is excluded unless expressly stated in writing.
Battery Motors
Battery-operated motor systems include one (1) charger per order, unless otherwise specified. Additional chargers may be purchased separately.
Battery Motor Maintenance
The client is solely responsible for charging and maintaining battery-operated motors. Failure to properly charge battery motors may result in operational issues or service calls, which are not covered under warranty and will be billed at standard service rates.
Motorized Noise Disclosure
Certain motorized systems—particularly cable-guided, tensioned, spring-loaded, or metal-component shades—may emit audible clicking or mechanical noise during operation. This is considered normal and not a defect.
Motor Speed & Hembar Alignment
Uniform motor speed, synchronized movement, and precise hembar alignment across multiple shades are achievable only with Lutron motorized systems when designed and programmed accordingly. Other motor platforms may exhibit minor variations in speed, stopping points, or hembar alignment that fall within manufacturer tolerances and do not constitute a defect. Shades By Design does not guarantee synchronized operation or alignment unless expressly specified in writing and supported by the selected motor platform.
Blackout Applications
Blackout fabrics do not guarantee total light blockage. Light gaps vary by application. Maximum room darkening requires full pockets, side channels, and sill channels. Final light reduction varies by installation and is not guaranteed.
Extra-Wide Shades
Roller shades exceeding 8 feet may exhibit waves, V-shaping, or fabric wrinkling within acceptable manufacturer tolerances. Shades exceeding 10 feet may include reinforced tubes; however, uniform fabric appearance is not guaranteed across multiple shades
Natural & Woven Shades
Natural or woven materials may flow, crease, shrink, or stretch due to climate conditions. Manufacturers indicate dimensional changes of up to 2–3% after installation. Woven shades are ordered from the smallest opening dimension with standard deductions (typically ½ inch).
Drapery, Roman Shades & Soft Treatments
Fabric composition is selected by the client. Soft fabrics are subject to movement and may not lay uniformly at all times. Natural fibers may shrink or stretch and may require re-hemming or adjustments.
Labor for alterations due to fabric movement is billed at standard hourly rates and may be performed on-site. Large Roman shades may not remain perfectly square, and fabric folds may shift during operation.
Pricing does not include shop drawings unless specifically noted. Shop drawings, if requested, require a specification deposit and are billed at $80 per hour. Engineering services are excluded unless expressly contracted
Pricing does not include scaffolding, lifts, cranes, elevator fees, hatch openings, escorts, or after-hours access unless expressly contracted. Any such costs are billed directly to the client.
SBD assumes walls, ceilings, floors, openings, and substrates are level, plumb, square, and built per approved plans.
Discovery of insufficient blocking, uneven conditions, or structural inconsistencies may result in additional costs billed Time & Materials (materials at cost plus 20%).
Concealed Utilities & Conditions
Shades By Design is not responsible for damage to concealed or undisclosed utilities, including but not limited to irrigation lines, drainage systems, plumbing, electrical conduits, or underground services not clearly identified prior to installation. The client is responsible for locating and disclosing all concealed conditions before work begins.
Installations are tentatively scheduled based on estimated lead times after deposit, selections, and measurements.
Delays caused by job site readiness, client-requested changes, building restrictions, manufacturer delays, or site access limitations will be rescheduled into the next available installation window.
Outdoor Installation Scheduling & Weather Delays
All exterior installation dates and durations are estimates only. Outdoor installations are subject to interruption, delay, or rescheduling due to weather or environmental conditions, including but not limited to rain, wind, storms, lightning, extreme heat, or unsafe working conditions.
Shades By Design is not responsible for delays caused by weather or environmental conditions. Such delays do not constitute a breach of contract, grounds for cancellation, penalty, or refund. Weather-related delays may result in installations being moved to the next available installation window at Shades By Design’s discretion.
Job Site Readiness & Cancellations
SBD may cancel or reschedule installation if site conditions are unacceptable upon arrival, including incomplete wiring, unfinished surfaces, unsafe or unclean conditions, or incomplete framing.
A $250 rescheduling fee will apply.
Completion Definition
Installation is considered complete upon substantial completion, meaning the systems are installed and operational in accordance with the approved specifications. Minor cosmetic items, manufacturer tolerances, or final adjustments that do not affect functionality shall not delay completion, final payment, or acceptance.
Additional design consultation or coordination beyond contract scope is billed at $100 per hour.
Unscheduled time required on installation day constitutes a cancellation and incurs:
Quotes are valid for thirty (30) days.
A 60% deposit is required to initiate all orders unless otherwise agreed in writing. Service calls require 100% payment in advance.
The remaining 40% balance must be paid prior to delivery or installation. Failure to pay may result in cancellation, suspension of work, and acceleration of all outstanding balances.
Past-due balances incur a 1.5% monthly finance charge.
Storage Fees
If delivery or installation is delayed by the client beyond thirty (30) days from product arrival, Shades By Design will assess storage and administrative fees with a minimum charge of $100 per month, increasing based on product volume, square footage, handling requirements, and duration of storage. Fees must be paid prior to release or installation of stored materials.
SBD does not manufacture products and does not provide product warranties. All warranties are provided solely by the manufacturer and subject to their terms.
Including but not limited to:
Labor workmanship is warranted for twelve (12) months. Firmware updates, programming, app configuration, or system adjustments are not included and billed at standard rates.
To the fullest extent permitted by law, SBD’s liability is limited to the value of products or services provided. SBD is not liable for indirect, incidental, or consequential damages.
Clients agree to indemnify and hold harmless SBD from claims arising from misuse, third-party interference, inaccurate information, or violation of these Terms.
All drawings, designs, renderings, and plans remain the property of Shades By Design unless otherwise agreed in writing. Clients receive a non-transferable, project-specific license only.
SBD reserves all lien rights under Florida Statutes Chapter 713.
These Terms are governed by Florida law, with venue exclusively in Miami-Dade or Broward County, Florida
